The IP Attorney in Mergers and Acquisitions
EBITDA, Comparable Operations, Sales, Discounted Cash Flows (DCF) + strategic value… valuation methods are frameworks of analysis from which we try to determine what is the value (real or theoretical) of a company. Understanding the approach and objectives of the entrepreneur with respect to a potential acquisition or merger of IP intensive companies is relevant for the IP lawyer assisting in the transaction; by understanding what gives meaning to the transaction and what defines the value, the lawyer will be better able to guide the due diligence on intangibles, the structuring of the transaction and the contract(s) by which the transaction will materialize. Speakers will present the relevant aspects/factors to consider when acting as an advisory in these processes as an IP lawyer.
