Warning! Antitrust Control In Acquisition Of Intangibles

IP rights have become a major target and the driving force behind most M&A activity during the XXI century. Therefore, it is relevant for IP practitioners to understand how IP rights are involved in such processes, how antitrust legislation applies to it and what elements are to be considered beyond the apparently simple “transfer” of the rights. Facing a sales and purchase of intangibles, under any modality, requires a comprehensive analysis. These processes demand focus, knowledge, creativity and team work with professionals of different areas.

The legal counsel work involves from the clearance of rights to the structuring of the IP within the corporate structure and tax planning to the preparation of strategies before any imposed divestment by the antitrust authority.

The Public Registries play a fundamental role in providing legal certainty regarding the ownership of rights and, consequently, in the economic development of the countries. Everyone wants its operation to be efficient and safe. Comparative law informs us that in Latin America, the registration offices of intellectual property rights have, from country to country, various competences, including in some cases, quasi-jurisdictional powers, eventually becoming Super Offices.

The panelists will discuss the evolution of certain intellectual property offices in the Americas and what this has meant for operational purposes and the pros and cons of concentrating legal powers on enforcement in those offices.

Workshop: Monetization of Intellectual Property – Transforming ideas into capital

IP is a company’s most valuable asset in today’s knowledge economy. Current successful business models (particularly those expanding through digital trade), rest in “intangibles”. Uber, today’s world largest “taxi business”, entered the market and grew without owning a single car; Alibaba, today’s largest retailer, does not own a physical store. David Bowie issued the “Bowie Bonds” in 1997, capturing US$55 million, backing such issuance with his copyright. Patent pools and patent licensing have expanded business opportunities, beyond the “invent it & sell it model” and “traditional licensing” (let’s go back in time and recall the patent pool for the MPEG-2 digital video compression standard).

IP is a value generator and it beyond individuals and companies, it represents value for the nations’ economies. As a reference, in the United States of America, IP-intensive industries accounted for a US$ 6.6. trillion in value added in 2014, a 30% increase from an earlier measurement in 2010; IP-intensive industries share to the total USA GDP increased in the same period from 34.8% to 38.2% (ref. USPTO study). So it is clear that today strategies for IP protection need to go hand on hand with strategies to monetize and manage IP.

This work shop will walk you the way through experiences of IP monetization, based on the practical experience and know-how of professionals. Join our experts in the discussion of IP Monetization in particular areas and review relevant mattes such as how to approach the process, what professionals need to team-up, what needs to be considered and evaluated, what is the attorney’s role in monetization processes; what does the legal counsel have in his check list.

Are You Ready To Counsel On Data Privacy?

Information is power! But when referred to personal data one should add “when able to use it legally”. The rules of the game regarding collection, transmission, processing, warehousing and use of personal data are growing more complex and in a greater scope. In May 2018, the General Data Protection Regulation (GDPR) entered into force for the European Union; this regulation is revolutionizing personal data matters worldwide and, as each countries’ domestic laws, it has the objective of providing individuals with more control over their data, introducing new processing, controlling, and transparency and compliance requirements.

Upon evolving regulatory and practical data privacy matters, qualified counseling is an asset. Legal aspects such as use of cookies in websites, processing contracts, trans-border transmission and formats to document informed consent are, along with other various plots, the subject of consultation.

Feed The World? Food Security And Intellectual Property

It is estimated that in 2020 we will be 7.7 billion people populating the world and by the end of the 21st century, 11.2 billion. At the rate of growth of humanity, another factor of impact is added: the average increase in life expectancy. Thus, we will be many more, living longer.

A growing population, with greater longevity, entails a greater demand for spaces to inhabit and a greater demand for food, in a finite terrestrial space. How to ensure the production of food in less space and for more population? Can we develop a model of sustainable food production in the long term and even independent of climatic variations? Definitely the answers go through technology and innovation applied to agriculture and agro-industry; these are strategic elements for the subsistence of humanity.

Plant varieties, biotechnology, equipment and machinery; fertilizers, herbicides, are some of the topics that, added, can give an answer. Our panelists will address innovation in these sectors, what to expect towards the future and the requirements of a suitable intellectual property for its stimulus and protection.

Do you know Alice? Patent Eligibility

It’s been over 4 years since the United States of America Supreme Court of Justice issued the its decision on the Alice Corp. v CLS Bank case (the Alice case). In most of the world, software is not patentable, except for that provided in the Paris Convention with respect to software being an element within a patentable hardware.

The Alice decision refers that abstract ideas are not patent-eligible and that implementing such claims utilizing a computer was not enough to transform that idea into subject matter entitled to patent protection, without specifying –in the opinion of some of the decision’s critics- what would make it patent eligible, since the Court limited its decision indicating that something “significantly more” shall concurred.

Notwithstanding the jurisdiction in which the decision was issued, the Alice case provokes questioning if, before the technological advances we are living, isn’t it time to review the way to stimulate innovation hand to hand with software and determine if rules that were defined in the XIX and XX centuries shouldn’t be adapted to the XXI century informatics’ development.

Panelists will debate on the Alice decision’s criteria, the impact it has had, new decisions that seem to have softened such impact and further, where should the efforts focus in order to provide balance and legal certainty when referring to software protection.
